THE "NAME MISSY ELLIOTT’S NEW ALBUM TITLE" CONTEST

2008 OFFICIAL RULES

THIS CONTEST IS INTENDED ONLY FOR UNITED STATES (EXCLUDING PUERTO RICO) RESIDENTS WHO ARE LOCATED IN THE UNITED STATES AT THE TIME OF ENTRY.

NO PURCHASE NECESSARY. VOID WHERE PROHIBITED.

  1. ELIGIBILITY: Open to legal residents of the United States of America (excluding Puerto Rico) who are 13 years of age or older and had Internet access on or before January 23, 2008. Employees, officers, directors and agents of Atlantic Recording Corporation ("Sponsor"), and Adidas Group (“Adidas”) and all of Sponsor and Adidas’ respective related entities, advertising and promotional agencies (collectively "Sponsor and its agents") and the immediate family members and persons living in the same household of each are not eligible.

 

  1. TO ENTER: Beginning 5:00:00 pm EST on January 30, 2008, log on to the following website: www.missy-elliott.com, and follow the instructions to complete an official entry form (the "entry" or "entries"), including your suggestion for a title for the new album embodying the performances of the artist professionally known as "Missy Elliot" and send the entry electronically by 11:59:59 PM EST on February 20, 2008. Electronic entries must be received by 11:59:59 PM EST on February 20, 2008. Limit 1 entry per person or email address. No facsimiles allowed. Sponsor is not responsible for lost, late, stolen, mutilated, damaged, incomplete, illegible or misdirected entries or for malfunctions of electronic equipment, computer hardware or software, or any other technical problems related to website entries. Entries become property of Sponsor immediately upon submission and will not be returned. Entries must be original, may not be vulgar or contain profanity, must not infringe the rights of any third party and must not have been submitted in any other contests. Sponsor will disqualify any entries that do not meet the aforementioned requirements.

 

  1. JUDGING: One (1) potential winner will be determined on or about February 29, 2008 from all eligible entries received. Entrants will be judged by Sponsor or its designee, the judge of the Contest, whose decisions are final and binding on all matters relating to the Contest. Entrants will be ranked based on the following criteria: (i) creativity (40%); (ii) originality (30%) and (iii) marketability (30%). In the unlikely event of a tie, the winner will be the entrant with the highest ranking in category (i). In the unlikely event of a further tie, the winner will be the entrant with the highest ranking in category (ii).  In the event of a further tie, the winner will be the entrant whose submission was submitted the first.  The potential winner will be notified by telephone, email and/or overnight mail and will be required to sign, notarize and return an affidavit of eligibility/liability and publicity release within 48 hours of the date of notification or the prize will be forfeited and an alternate winner will be selected. If a potential winner is a minor in his/her state of residence, such potential winner's parent or legal guardian must sign all required documents. If a potential winner is not available within 48 hours of first attempt by Sponsor to contact such potential winner or prize notification is returned as undeliverable, prize will be forfeited and an alternate winner will be selected from eligible entries received.

 

  1. PRIZE: One (1) winner will receive an Adidas Gift Certificate for $500.00 which may be redeemed on Adidas.com and in Adidas stores and their name included in the album packaging. Approximate Retail Value ("ARV") is $500.00. Prize is not transferable. No cash redemptions or prize substitutions allowed, except at the Sponsor's sole discretion. Prize will be awarded. In the unlikely event that any portion of the prize is cancelled or undeliverable for any reason (i.e., Missy Elliot’s forthcoming album is not released by Sponsor), winner agrees Sponsor has no further obligations to winner other than delivery of the remainder of the Prize.

 

  1. GENERAL CONDITIONS: All federal, state, and local taxes related to the prize are the winner's responsibility. The contest is governed by the laws of the State of New York with venue in New York County, New York, and all claims must be resolved in the state or federal courts of New York County, New York. All federal, state and local laws and regulations apply. In the event of a dispute regarding the identity of the person submitting an online entry, the entry will be deemed to be submitted by the person in whose name the email account is registered. Sponsor reserves the right to modify, suspend or terminate the online portion of the contest in the event that it becomes infected by a computer virus or is otherwise technically impaired. Upon submitting an entry, participants agree: (a) to be bound by the Official Rules, Sponsor's privacy policy and the decisions of the judge of the Contest, whose decisions regarding the Contest are final and binding; (b) to release and hold harmless Sponsor and its agents from any and all claims, demands, damages, losses or liabilities, including injury or death, caused by, arising out of, or related to their participation in the contest and/or their use/misuse of the prize; and (c) to be contacted by Sponsor via email, telephone and/or mail. By entering the contest, each entrant consents to the use of his or her name and/or likeness on the packaging of the Missy Elliot album and for advertising and promotional purposes without additional compensation (except where prohibited by law). Proof of mailing does not constitute proof of delivery or receipt of information to/by Sponsor.

 

  1. USE OF WINNING ENTRY: By participating, each entrant warrants and represents that his/her entry is original and the entrant's sole work of authorship, and will not infringe the rights of any third parties. Upon submitting an entry, each entrant 1) irrevocably assigns and transfers to the Sponsor any and all rights, title and interest in the entry including, without limitation, all ownership and trademark rights in the submitted name, and 2) acknowledges and agrees that Sponsor and its agents and licensees shall have the perpetual, worldwide right to use, modify, adapt, sell, publish and/or exploit (and authorize others to do so) the winning entry, both promotionally and commercially, in any manner, in whole or in part, in any and all media now known or hereinafter devised, without geographic limitations, and to refrain from any such use, without any compensation or credit to the winner other than the Prize, except where prohibited by law. Entrants agree to indemnify and hold Sponsor and its agents harmless from any claims resulting from or arising out of any violations of the above representations.

 

  1. WINNER'S NAME: For the name of winner, send a self-addressed, stamped envelope to: The "Name Missy Elliot’s New Album Contest: Winner's Name c/o Atlantic Recording Corporation, 1290 Avenue of the Americas, New York, New York, 10104 attn: Joi Pitts, to be postmarked by March 10, 2008 and received by March 14, 2008.
